These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "your") and Noodles.fun, governing your access to and use of the Noodles.fun platform, services, and related features ("Platform"). By accessing or using our Platform, you agree to comply with these Terms. If you do not agree with these Terms, you must not use the Platform.

Platform Overview: Noodles.fun is a SocialFi platform enabling users to speculate on the visibility of Twitter (X) accounts and purchase direct exposure through those accounts’ posts and pinned tweets. The platform operates on a permissionless basis, meaning content creators do not need to sign up for speculation on their profiles.
1.2. Legal Agreement: By using Noodles.fun, you acknowledge that you have read, understood, and agreed to be bound by these Terms, including our Privacy Policy and any other referenced policies.
1.3. Updates to Terms: We may update these Terms periodically. Continued use of the Platform after such updates constitutes your acceptance of the revised Terms.
1.4 Use of funds: All funds collected on Noodles.fun contribute to the DAO treasury, supporting platform development, maintenance, and growth. Managed via secure smart contracts, the treasury ensures transparency and community oversight in fund allocation.
2.1. To use Noodles.fun, you must:
Be at least 18 years old or the age of majority in your jurisdiction.
Have the legal capacity to enter into a binding contract.
Not be a resident of a restricted jurisdiction (as listed in our Prohibited Jurisdictions section).
Not be prohibited by applicable law from using the services of Noodles.fun.
2.2. If you are using the Platform on behalf of an entity, you must have the authority to bind that entity to these Terms.
3.1. The value of digital assets, including tokens speculated on through the Platform, can fluctuate significantly. There is a material risk of economic loss when buying, selling, holding, or investing in digital assets.
3.2. No Financial Advice: Noodles.fun does not provide investment advice. You are responsible for conducting your own due diligence before making any decisions.
3.3. No Liability: We are not responsible for any losses incurred as a result of transactions conducted on or facilitated through the Platform.
4.1. Compliance with Laws: You agree to comply with all applicable laws, regulations, and industry standards when using the Platform.
4.2. Prohibited Activities: You must not:
Engage in fraudulent, misleading, or manipulative behavior.
Use the Platform for illegal activities, including money laundering or terrorist financing.
Attempt to hack, disrupt, or otherwise compromise the security or integrity of the Platform.
Impersonate other users or create multiple accounts to manipulate transactions.
4.3. Account Security: You are responsible for maintaining the security of your account, including securing your private keys and wallet credentials. Noodles.fun is not responsible for lost or compromised accounts.
5.1. Platform Fees: Fees associated with using the Platform will be displayed before executing transactions. By using the Platform, you agree to these fees.
5.2. Smart Contracts & Transactions: All transactions on Noodles.fun operate via smart contracts. You acknowledge that these transactions are irreversible and that Noodles.fun does not control the execution or settlement of these smart contracts.
5.3. Taxes: You are responsible for determining any tax obligations related to your use of the Platform and for reporting and paying any applicable taxes.
6.1. Ownership: All intellectual property rights related to Noodles.fun, including trademarks, logos, software, and content, remain the property of Noodles.fun or its licensors.
6.2. License to Users: You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes.
6.3. User Content: By posting or submitting any content to the Platform, you grant Noodles.fun a worldwide, royalty-free license to use, distribute, and display such content.
7.1. User Data Collection: By using the Platform, you agree to the collection and processing of your personal data in accordance with our Privacy Policy.
7.2. Data Security: While we implement security measures, we cannot guarantee absolute security. Users should take appropriate precautions when using the Platform.
8.1. Termination by Noodles.fun: We reserve the right to suspend or terminate your access to the Platform if you violate these Terms, engage in prohibited activities, or pose a risk to the Platform.
8.2. User Termination: You may stop using the Platform at any time. However, you remain responsible for any transactions made before termination.
9.1. No Warranties: The Platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free operation.
9.2. Limitation of Liability: Noodles.fun is not responsible for any losses resulting from:
Force Majeure: Noodles.fun is not liable for events beyond its control, including but not limited to natural disasters, cyberattacks, or regulatory changes.
To the maximum extent permitted by law, Noodles.fun shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
10.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of France.
10.2. Dispute Resolution: Any disputes arising from these Terms shall be resolved through arbitration in France, in accordance with French arbitration laws.
11.1. We may modify these Terms at any time. If significant changes are made, we will notify users through the Platform. Continued use of the Platform constitutes acceptance of the updated Terms.
By using Noodles.fun or carrying out any transactions, you agree that you will not:
12.1. Use the Platform for commercial purposes, including transactions on behalf of other persons or entities, unless expressly agreed by us in writing.
12.2. Engage in market manipulation, including pump and dump schemes, wash trading, or price manipulation.
12.3. Provide false, misleading, or fraudulent information to Noodles.fun or other users.
12.4. Use any automated means, including bots or scrapers, to access, monitor, or interact with the Platform.
12.5. Attempt to gain unauthorized access to the Platform or interfere with its normal operation.
12.6. Introduce viruses, malware, or any harmful software to the Platform.
12.7. Use the Platform in jurisdictions deemed high-risk, including but not limited to Russia, Cuba, Iran, North Korea, or Syria or as may be identified as being sanctioned as prescribed by United States of America, United Kingdom, European Union or United Nations, including but not limited to those on the sanctions lists maintained by the U.S. Office of Foreign Assets Control.
